LEGAL & STUDIO AGREEMENT

TERMS OF SERVICE & PRODUCTION

Welcome to Gruff Studios LLC. By booking a session, reserving studio time, commissioning post-production, purchasing Set Gear apparel, or executing a project with Gruff Studios LLC (“Studio,” “we,” “us,” or “our”), you (“Client,” “You,” or “Talent”) agree to be legally bound by the following Terms of Service and Production Agreement.

These terms apply to all activities conducted online at gruffstudios.com and in person at our studio facility located at 6565 Sunset Blvd, Suite 410, Los Angeles, CA 90028.

1. Intellectual Property & Brand Assets

Trademarks & Brand Identity: All proprietary designs, logos, brand names, visual assets, trademarks, and artwork—including our official mascot "Gruffy," the "Botanical Pulse" motifs, "The Shadow Collection," "The Daily Collection," and "The Gruff Lab" identity—are the exclusive intellectual property of Gruff Studios LLC.

Original Cinematography & Post-Production: All original camera work, directing, lighting setups, sound design, color grades, and edits produced by Gruff Studios LLC remain our protected creative IP until final project delivery and full payment clearance.

2. Creative Control, Aesthetic Integrity & File Delivery

🎬 ARTISTIC CONTROL & NO RAW FILES POLICY

Artistic Control: Gruff Studios LLC maintains full creative control over lighting setups, camera positioning, composition, audio engineering, and color grading. By booking our services, you acknowledge and accept our signature high-contrast, atmospheric cinematic aesthetic.

No RAW / Unedited Files: We do not deliver or release raw unedited camera files (such as BRAW, ProRes RAW, camera negative files, or uncompressed multi-track audio) under any circumstances. You are commissioning our complete end-to-end technical precision, visual vision, and post-production craft—not hiring a passive camera operator.

Final Master Delivery: Final master files (headshots, self-tapes, cinematic reels, or lab content) will be delivered in standard high-resolution digital formats (e.g., MP4/ProRes 4K, casting-optimized MP4, high-res JPEG) via encrypted online transfer links upon clearance of full payment.

3. Usage Rights & Licenses (For Actors, Talent & Creators)

Personal & Professional Promotion License: Upon clearance of final payment, Client is granted a perpetual, non-exclusive, worldwide license to use delivered final assets for personal and professional self-promotion across casting platforms (e.g., Actors Access, Casting Networks, Backstage), personal social media profiles, actor websites, and professional portfolios.

Commercial Restrictions: Delivered assets may not be resold, sublicensed, repurposed for commercial third-party product endorsements, or utilized in monetized corporate ad campaigns without a separate written agreement and commercial licensing fee.

4. File Storage & Data Retention Policy

Hosting & Archival Windows: Gruff Studios LLC provides active hosting for delivered digital assets based on service category:

  • The Actor Gymnasium (G.A.G.): Selects and edited masters are guaranteed access via private download links for 14 calendar days following delivery.
  • The Gruff Lab & Cinematic Headshots: Final retouched master files, high-resolution galleries, and project timelines remain accessible via delivery portals for 30 calendar days post-delivery.
  • Post-Production Project Caches: Local project scratch files, caches, and raw project assets are archived for 30 calendar days following master sign-off, after which local caches may be permanently purged to manage suite storage.

Client Backup Responsibility: Clients are strictly responsible for downloading, verifying, and archiving all delivered files and masters locally within their designated delivery window. Gruff Studios LLC is not liable for data loss or unretrieved assets once hosting links expire.

5. Multimedia, Likeness & Portfolio Release

Studio Portfolio Display: Client grants Gruff Studios LLC, its officers, employees, and authorized agents the non-exclusive, worldwide, royalty-free, perpetual right to capture, record, edit, display, and publish behind-the-scenes (BTS) video, photography, audio clips, color grading before/after samples, and finished video exports across studio web showcases, social media channels, print marketing, and editing sizzle reels.

Confidentiality, NDAs & Casting Holds: We respect sensitive audition material, embargoes, and project NDAs. If your session sides, script materials, or video projects are subject to an active non-disclosure agreement or project embargo, you must notify the Studio in writing via your booking intake form or email (`crew@gruffstudios.com`). Upon notice, all performance footage and proprietary assets will remain strictly private and withheld from public release until official project air dates.

6. Studio Scheduling, Cancellation & Rescheduling Policy

⏱ 24-HOUR CANCELLATION & RESCHEDULING POLICY

At Gruff Studios, every session is individually prepped with dedicated studio time, camera setup, and reader coordination. To protect our crew's schedule and maintain our production standard, we strictly enforce the following policy across all in-studio bookings (The Actor Gymnasium, The Gruff Lab, and Cinematic Headshots):

  • Rescheduling / Cancellations Outside 24 Hours: You may reschedule your session or cancel directly through your confirmation link up to 24 hours before your scheduled start time. Cancelled appointments made outside 24 hours are eligible for a full studio credit toward a future booking or a refund upon request to crew@gruffstudios.com.
  • Late Cancellations & Rescheduling (Within 24 Hours): Bookings cancelled or rescheduled with less than 24 hours notice are non-refundable and cannot be rescheduled online, as studio gear, lighting setups, and readers have already been locked in for your slot.
  • No-Shows & Late Arrivals: Arrival more than 15 minutes late without prior notice will forfeit the session and payment. Studio sessions run strictly on time to respect the next booked client. Late arrivals deduct directly from your available session recording time.

Studio Facility Protocol & Parking:

  • Parking: Every booked in-studio session includes 1 free validated parking space inside our on-site building garage off Sunset Blvd for the attending client.
  • Closed Set Rules: To maintain a quiet, focused environment and maximize your time in front of the lens, outside guests, unapproved crew, stylists, or observers are strictly prohibited on set.
  • Script Submission & Preparation: Script sides must be submitted via the booking form or emailed to crew@gruffstudios.com in advance of your session so assigned reader teammates can review character choices and pacing beforehand.
  • Equipment & Facility Liability: Clients are responsible for exercising care inside the studio. Any damage caused to studio property, 6K camera packages, lighting grids, audio hardware, or facility infrastructure due to misconduct or negligence will be billed directly to the Client.

7. E-Commerce & Set Gear Store Terms

  • Print-on-Demand Fulfillment: All Set Gear apparel and physical accessories are custom printed and fulfilled on demand through our fulfillment partner, Printful. By placing an order, you acknowledge that items are made to order upon purchase.
  • Damaged, Defective, or Misprinted Items: Any claim for misprinted, damaged, or defective items must be submitted within 30 days after the product has been received. For packages lost in transit, all claims must be submitted no later than 30 days after the estimated delivery date. Claims deemed an error on our or our printer's part are covered at our expense.
  • Buyer’s Remorse & Wrong Size Returns: Because all products are custom made to order, we do not accept returns or offer refunds for buyer’s remorse or ordering the incorrect size. Please consult the sizing charts provided on the product pages prior to placing your order.
  • Wrong Address & Unclaimed Shipments: If you provide an address that is considered insufficient by the courier, or if the shipment goes unclaimed, the package will be returned to the fulfillment facility. You will be responsible for the cost of reshipment once an updated address is confirmed.
